Incoterms® 2020 are globally recognized as the standard rules defining delivery terms in international trade. However, in many commercial contracts, incorrect or imprecise translations of these terms can lead to serious disputes, unexpected costs, and legal exposure.

In most cases, the issue is not the Incoterm rule itself, but how it is interpreted across different languages. Even minor wording differences can significantly affect risk transfer, insurance coverage, customs responsibilities, and cost allocation.

🛑 𝗪𝗵𝘆 𝗔𝗰𝗰𝘂𝗿𝗮𝘁𝗲 𝗜𝗻𝗰𝗼𝘁𝗲𝗿𝗺𝘀 𝗧𝗿𝗮𝗻𝘀𝗹𝗮𝘁𝗶𝗼𝗻 𝗜𝘀 𝗖𝗿𝗶𝘁𝗶𝗰𝗮𝗹

Incoterms are not merely logistics terms — they carry legal, contractual, and operational authority. They are:

• • Legally referenced in commercial agreements
  • Interpreted by courts and arbitration tribunals
  • Used by logistics, customs, and insurance professionals to determine obligations

An inaccurate translation may result in:

• • Misunderstood delivery responsibilities
  • Disputes over the timing and location of risk transfer
  • Unexpected freight, storage, and tax costs
  • Insurance coverage gaps
  • Expensive international trade disputes and claims

🛑 𝗖𝗼𝗺𝗺𝗼𝗻 𝗜𝗻𝗰𝗼𝘁𝗲𝗿𝗺𝘀 𝗧𝗿𝗮𝗻𝘀𝗹𝗮𝘁𝗶𝗼𝗻 𝗣𝗶𝘁𝗳𝗮𝗹𝗹𝘀

𝗘𝗫𝗪 – 𝗘𝘅 𝗪𝗼𝗿𝗸𝘀

EXW is frequently mistranslated as “factory delivery” or “seller delivers at the factory.”

In reality:
The seller’s obligations are minimal. Once the goods are made available, risk transfers to the buyer at a very early stage.
Loading, inland transport, and export customs clearance are generally the buyer’s responsibility.

Incorrect translation → May impose unintended obligations on the seller.

🛑 𝗗𝗔𝗣 – 𝗗𝗲𝗹𝗶𝘃𝗲𝗿𝗲𝗱 𝗔𝘁 𝗣𝗹𝗮𝗰𝗲

DAP is sometimes translated as “delivery to destination.”

This wording may incorrectly suggest that:

• • The seller handles import customs clearance
  • The seller is responsible for unloading the goods

In fact:
Under DAP, import clearance and unloading remain the buyer’s responsibility.

🛑 𝗗𝗗𝗣 – 𝗗𝗲𝗹𝗶𝘃𝗲𝗿𝗲𝗱 𝗗𝘂𝘁𝘆 𝗣𝗮𝗶𝗱

DDP is often translated as “all costs paid by the seller.”

While partially accurate, this description is incomplete and potentially misleading.

Under DDP, the seller must also assume responsibility for:

• • Import duties and taxes
  • Customs fees and regulatory charges
  • Compliance with local import laws and procedures

Incorrect translation → May cause sellers to underestimate legal and regulatory exposure.

Many translations fail to reflect this distinction clearly, which can lead to insurance gaps and denied claims.

Incoterms should never be translated as free-form commercial language.

Instead, you should ensure that:

• • The term is always referenced as “Incoterms® 2020”
  • ICC’s official definitions are followed precisely
  • Multilingual contracts include clarifying explanatory notes
  • The named place of delivery is clear, precise, and specific
  • Legal, logistics, and trade teams maintain a shared interpretation framework

When applied correctly, Incoterms® 2020 support efficient and predictable international trade.
When translated inaccurately, they become a risk multiplier that can expose businesses to financial, legal, and operational harm.

For this reason, companies should invest not only in selecting the correct Incoterm, but also in ensuring accurate, consistent, and legally sound translations across all contract languages.
